By accessing or using CME Agent ("the Service"), you agree to be bound by these Terms of Service. If you do not agree to these terms, please do not use the Service. We reserve the right to update these terms at any time, and continued use of the Service following any changes constitutes acceptance of those changes.

Service Description

CME Agent is a software-as-a-service (SaaS) platform that helps physicians track and manage Continuing Medical Education (CME) compliance across multiple state licenses. Our services include:

• Multi-state CME requirement tracking and monitoring.
• AI-powered certificate scanning and data extraction.
• Intelligent course matching and optimization across states.
• Deadline alerts and personalized compliance action plans.
• Cloud-based storage and synchronization of CME records.

User Responsibilities

As a user of CME Agent, you are responsible for:

• Providing accurate and up-to-date information about your licenses and CME activities.
• Maintaining the security of your account credentials.
• Verifying compliance information with your state medical boards, as CME Agent is a tracking and optimization tool and does not replace official board communications.
• Using the Service in compliance with all applicable laws and regulations.
• Not attempting to reverse-engineer, decompile, or otherwise access the source code of the Service.

CME Agent is not a legal, medical, or compliance advisory service. The information provided through our platform is for informational and tracking purposes only. While we strive to maintain accurate and current state requirement data, you should always verify compliance requirements directly with your state medical board.

CME Agent does not guarantee that using our Service will ensure compliance with any state's CME requirements. The ultimate responsibility for maintaining valid medical licenses rests with the individual physician.

Limitation of Liability

To the maximum extent permitted by law, CME Agent and its officers, directors, employees, and agents shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of income, license suspension, or penalties arising from:

• Your use of or inability to use the Service.
• Any errors or inaccuracies in the compliance data presented.
• Missed deadlines or requirements, regardless of whether the Service provided alerts.
• Unauthorized access to your account or data.

Our total liability for any claims arising from use of the Service shall not exceed the amount you paid for the Service in the 12 months preceding the claim.

Subscription and Billing

CME Agent offers subscription-based plans billed monthly. You may cancel your subscription at any time, and you will retain access through the end of your current billing period. Refunds are not provided for partial billing periods.

Intellectual Property

All content, features, and functionality of CME Agent, including but not limited to software, algorithms, text, graphics, and logos, are the exclusive property of CME Agent and are protected by copyright, trademark, and other intellectual property laws.

Termination

We may suspend or terminate your access to the Service at any time for violation of these terms or for any other reason at our sole discretion. Upon termination, your right to use the Service ceases immediately, though we will provide a reasonable period for you to export your data.
